Make sure you know what area within software development is to be outsourced. Check the Software company to see is they have done similar projects i the past or have adequate knowledge of the requirements. Check their history & most importantly validate it with references. If its a new company whihc vouches to deliver quality work, check the individuals experience, track record, & give them a chance, maybe also have a heftier penalty clause.

Offshore isn't always what it seems to be. There is generally a ratio that applies to offshore resources, 5 in the US = 8-10 offshore. And be prepared to hold a lot of hands, in my experience offshore resources have very little ability to make any logical decisions on their own.
